Referral programme terms

Version [1.0] · Effective from [date]

These terms apply when an existing customer ("Referrer") introduces another practice ("Referred Practice") to PracticeProof. They form part of the Terms of Service. The promoter is PracticeProof, a trading name of [owner's full legal name], [business address], Portugal.

1. Who can take part

1.1 Referrers must be practices with an active, paid PracticeProof subscription that is not in arrears.

1.2 A Referred Practice must be a dental practice in England that has never had a PracticeProof account, and that signs up using the Referrer's link or an invitation sent through the Service.

1.3 The following do not count as referrals: another location of the Referrer's own business; a practice under common ownership or control with the Referrer; and any practice already in contact with us about PracticeProof before the referral [within the previous 90 days].

2. Rewards

2.1 Referred Practice: it receives the new practice offer in the Terms of Service (clause 6.2). It does not receive a free month or any other extra discount.

2.2 Referrer: one free month's subscription credit for each Referred Practice that pays its first invoice in full.

2.3 Extra reward: when 3 Referred Practices introduced by the same Referrer have each paid their first invoice, the Referrer receives a credit for 1 hour of Consultant Review [once only / once per programme year].

2.4 A Referrer can earn up to 6 free months in any 12-month period starting on the date it earns its first reward [to confirm]. Referrals above the cap still count towards clause 2.3.

2.5 If the Referred Practice's first payment is refunded, reversed or charged back, or the referral is found not to meet these terms, we may withdraw the related reward or deduct it from future credit.

3. How credit works

3.1 Rewards are credited to the Referrer's practice account, not to any individual. This is intended to keep the programme in line with practices' gifts and hospitality policies.

3.2 Free-month credit is applied automatically to the Referrer's next subscription invoice or invoices. Consultant Review credit is applied to the next accepted Consultant Review quote.

3.3 Credit:

  • (a) has no cash value and cannot be exchanged for cash or any other benefit;
  • (b) is not refundable, including when the subscription is cancelled;
  • (c) cannot be transferred to another practice, person or account;
  • (d) can be used only against PracticeProof Fees;
  • (e) expires 12 months after it is credited if not used [to confirm];
  • (f) is lost if the Referrer's account is closed or terminated.

3.4 For a yearly subscriber, each free month is applied as a credit of one-twelfth of the yearly fee against the next yearly invoice [to confirm].

4. Fair use

4.1 Referrers must not: send unsolicited bulk messages; make misleading statements about PracticeProof; bid on our brand name in paid search; create fake accounts; or refer themselves.

4.2 Invitations sent through the Service are sent by us on the Referrer's behalf to an email address the Referrer provides. The Referrer must only send invitations to people they reasonably believe would welcome them, such as professional contacts. We send one invitation and one reminder at most [to confirm], and do not contact the invitee again unless they sign up.

4.3 If we reasonably believe a Referrer has broken these terms, we may withhold or cancel rewards and remove the Referrer from the programme.

5. Tax

5.1 Credit reduces the Fees payable by the practice. Each practice is responsible for its own accounting and tax treatment of any discount it receives.

6. Changes and ending the programme

6.1 We may change or end the programme by giving at least 30 days' notice in the Service. Rewards already earned before the change remain valid on the terms that applied when they were earned. Where needed to prevent fraud or to comply with law, we may suspend the programme immediately. If we close the Service, rewards and credit end on the Closure Date under the Terms of Service and have no cash value.

7. General

7.1 Our decision on whether a referral qualifies is final, acting reasonably.

7.2 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. [lawyer to confirm: English or Portuguese law and courts; English law is assumed because customers are in England]
